Version 0.1
Mizan — Terms of service
DRAFT for legal review. Not published. Version
[PLACEHOLDER 0.1], effective[PLACEHOLDER date]. Arabic version:terms.ar.md;[CONFIRM]which prevails.
These terms are an agreement between [PLACEHOLDER: legal entity] ("Mizan", "we") and the business that opens a Mizan account ("the merchant", "you"). The person who accepts them confirms they may bind that business.
1. The service
Mizan is software, provided online, that helps the merchant run their store: orders from connected channels, order confirmation, shipping with the merchant's couriers, stock, purchasing, payments records, refunds, returns, customer tickets, automations, reports and profit per order, plus a mobile app for warehouse staff. Features available depend on the plan. We may improve and change features; we will not remove a core feature of a paid plan during a paid period without notice and a fair remedy [CONFIRM].
2. Account and team
- You give accurate details and keep them current. Owners and admins must use two-step sign-in.
- You decide who joins your team and with which role, and you are responsible for what they do in Mizan.
- Tell us at once at
[PLACEHOLDER: security@…]if you suspect unauthorised access.
3. Your connected services
Mizan connects to services you choose (store platform, couriers, payment gateways, WhatsApp Business, others). Your use of them is governed by your own agreements with those providers, including their fees and rules (for example Meta's WhatsApp Business policies and message pricing). Mizan acts on your instructions toward them. We are not responsible for their availability, their errors, or changes they make to their services, though we design Mizan to handle failures safely (retries without duplicates, held actions, review queues).
4. Your data
- Your business data and your shoppers' data belong to you. You give us the right to process them only to provide and secure the service, as set out in the data processing agreement, which forms part of these terms.
- You are responsible for having a lawful basis to collect your shoppers' data and to let Mizan process it, for your own privacy notice to shoppers, and for their consent to receive messages (Mizan records consents and stop requests you collect through it).
- You can export your data while your account is open, and for
[PLACEHOLDER: 30 days]after it closes. - We may use aggregated, anonymous statistics that identify neither you nor any person to run and improve Mizan.
5. Payments handled through Mizan
Mizan never holds your money: payments go to your own gateway and courier accounts. Mizan records them, and works out what a courier should collect and what profit each order made, from the data and costs you and your providers supply. Figures such as profit, fees and cash to collect are estimates until your providers confirm them; check them before relying on them for tax or accounting. Mizan is not a payment service provider, bank, accountant or tax adviser.
6. Acceptable use
You will not use Mizan to: break the law (including consumer protection, data protection and anti-spam rules); send messages people did not agree to receive; sell prohibited goods; attack, probe, overload or reverse-engineer the service; get around plan limits or access other merchants' data; or resell the service without written agreement. We may suspend the affected part of an account to stop a serious breach or a security risk, and will tell you why and how to fix it, unless the law prevents us.
7. Plans, fees and billing
[PLACEHOLDER: plans, prices in EGP/SAR, billing cycle, VAT, overage per order, trial, upgrade and downgrade rules, late payment and grace period, refunds of fees]. Usage limits are shown in the app; over a limit we warn first, and do not stop your orders being processed without notice [CONFIRM against plan design]. Message, call and provider fees you incur are yours (passed through at cost or as priced in your plan [PLACEHOLDER]).
8. Availability and support
We aim for [PLACEHOLDER: 99.5%] monthly availability, excluding planned maintenance announced in advance and failures of providers outside our control. Support in Arabic and English through [PLACEHOLDER: channels and hours]. [CONFIRM: service credits or none].
9. Mizan staff access
Our support staff can open your account only when needed to help you or keep the service safe, for a limited time and with a recorded reason. You see a notice in the app while it is open, and each access is recorded.
10. Intellectual property
Mizan, its software, design and content belong to us or our licensors. You get a non-exclusive, non-transferable right to use Mizan for your business during your subscription. Feedback you give may be used to improve Mizan without obligation to you.
11. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for this agreement, except as the law requires.
12. Warranties and liability
- Mizan is provided with reasonable skill and care. Beyond that, and to the extent the law allows, it is provided "as is"
[CONFIRM under Egyptian Civil Code]. - Neither side is liable for indirect or consequential loss, lost profit or lost business
[CONFIRM enforceability]. - Our total liability in any 12 months is limited to the fees you paid us in those 12 months
[CONFIRM]. Nothing limits liability that cannot be limited by law (for example for fraud or gross negligence[CONFIRM]).
13. Suspension, termination and your data afterwards
- You may close your account at any time from the app or by writing to us; paid periods are
[PLACEHOLDER: not refunded / refunded pro rata]. - We may end the agreement with
[PLACEHOLDER: 30 days]notice, or at once for a serious breach not fixed within[PLACEHOLDER: 14 days]of notice. - After closing: export available for
[PLACEHOLDER: 30 days]; shoppers' personal data deleted within 90 days; financial records without personal data kept only as the law requires. Uninstalling the Shopify app triggers deletion of that shop's data per Shopify's rules.
14. Changes to these terms
We tell account owners at least 30 days before a material change. If you do not agree, you may close your account before it takes effect.
15. Law and disputes
These terms are governed by the laws of [CONFIRM: the Arab Republic of Egypt]. Disputes go first to good-faith discussion for 30 days, then to [CONFIRM: the courts of Cairo / arbitration at CRCICA]. For merchants in KSA or other countries, [CONFIRM: local mandatory rules].
